SpaceX 8-K: binding commitment for an Apollo-managed lessor to finance about $40bn of GPU pods under a master finance lease
In an 8-K filed Oct. 26, 2026, Space Exploration Technologies Corp. said that on Oct. 24 it entered a binding commitment letter for a master finance lease with an entity managed by Apollo Global Management, which will acquire and lease to the company graphics processing unit pods and related equipment. Equipment is to be delivered in tranches, each with a lease schedule of about five to five and one-quarter years, with quarterly rent of one-twentieth of the tranche's financed cost plus a fixed-rate amount on the outstanding balance. The company expects aggregate principal payments of about $40 billion; closing is expected before year end, subject to conditions, and schedules are expected to start in the first half of 2027.
Why it matters for deal teams: GPU-backed lease financing is now being documented at very large scale in public filings, a reference point for asset-based and infrastructure lenders structuring amortising compute exposure.
