A direct-lending deal, start to finish

The workflows below follow one private credit deal in order, from the first teaser to the portfolio team taking over. Each stage lists new deal-lifecycle cards and earlier cards that belong there. Hours are always illustrative estimates, not measured. In every card, a human makes the call and the agent prepares the work.

1. Inbound screening and the fast 'no'

Triage teasers and CIMs against the fund box, write down why you passed, keep the pipeline current.

2. Underwriting

Spread the financials, challenge the add-backs, build the downside, price against public comps, draft the IC memo and red-team it.

3. Due diligence

Track the request list, answer from the data room, turn management calls into an issues list, screen every name, check the sponsor.

    4. Documents

Check every turn of the credit agreement against the term sheet, extract covenants, scan for trapdoors.

    5. Closing

Conditions precedent, signatures, the funds flow, and the rating pack for insurer buyers.

    6. Booking and onboarding

Book the loan without rekeying, set the reporting and covenant calendar, check the first compliance cert, pre-check assignments.

      7. Portfolio handoff

Hand the deal to the portfolio team with a thesis and watch metrics, then look back at the underwriting case after 12 months.

Once the loan is on the books, the catalog's monitoring cards take over: covenant tie-outs, PIK watch, amendment tracking and valuation evidence.
